1

The object of the Association is the preservation of traditional Scottish skills of piping and drumming in Helensburgh and the surrounding district by practice and example and by the training of new players in these skills.
 

2 Membership of the Association is open to any person interested in the above object and can include playing and non-playing members. Members under the age of eighteen can attend all General Meetings and can take part in discussion but may not vote on any issue.
 
3 For the purpose of Paragraph 2, playing members are defined as members who wear uniform dress and perform publicly. Non-playing members may include former players engaged in teaching, trainees, administrative workers and others. The playing group shall be called Helensburgh and District Pipe Band or such other title as may be decided in the future by a full meeting of playing and non-playing members at which meeting three-quarters of the membership shall form a quorum.
 
4 The business of the Association shall be conducted by a Chairman, Secretary, and Treasurer plus a committee comprising the Convenors of the Sub-Committees, referred to in Paragraph 6, or such additional Sub-Committees as may from time to time be appointed, plus one additional member freely elected. At least two thirds of the membership of either Committee or Sub-Committee shall be necessary to form a quorum. The principal Committee shall have powers of co-option and delegation and the Chairman shall have a deliberative as well as a casting vote.
 
5  The following Sub-Committees will be appointed at the Annual General Meeting: -
 
a) Playing Sub-Committee will be composed of the Pipe-Major, Pipe Sergeant and Drum-Sergeant. This committee, which will be convened by the Pipe-Major, will be responsible for the selection of music, decisions as to competitions and engagements and the education of young players.
 
b) Quartermaster Sub-committee comprising a Convenor and two members whose responsibility will be the recording and issuing of uniforms and equipment.
 
c) Social Sub-Committee comprising a Convenor and two members whose principal responsibility will be the raising of additional funds and revenue to finance the Association's object by the promotion of social events, public collection and similar means. They will also organise transport and supporting facilities at engagements.

The Sub-Committees shall have power of co-option.
 

6 The Office Bearers and Committee shall be elected at the Annual General Meeting held early in November every year and shall hold office for twelve months. The retiring secretary and Treasurer shall hand over the books, etc. to their successors in office in the month of December immediately following the Annual General Meeting.
 
7 Each person joining the Association shall be provided with a copy of the Constitution. All business connected with the Association shall be strictly private.
 
8 Each playing member shall be provided with a uniform which shall remain the property of the Association and shall not be allowed to be used except on Band Parades, unless by permission of the Pipe-Major. Members shall be held responsible for any damage that may occur to their uniform through neglect or carelessness while in their possession. Members infringing this requirement shall be subject to instant dismissal from the Association.
 
9 Vacancies in the Band at any time shall be filled by nomination of the Playing Sub-Committee.
 
10 The positions of Pipe-Sergeant and Drum-Sergeant will be nominated from the playing membership by the Pipe-Major.
 
11 The Secretary shall attend regularly and keep a correct record of all business transacted.
 
12 The Financial Year shall run from 1st November to 31st October. The Treasurer shall keep a correct account of all the funds of the Association, with a proper account of income and expenditure, and his books shall be open for inspection at any time. A statement of accounts duly audited and certified shall be submitted by him to the Annual General Meeting.
 
13 No playing member under the influence of liquor or whose conduct or appearance is objectionable shall be allowed to perform with the Band.
 
14 Any playing member absent more than three Practice Nights in succession without a sufficient excuse, may be required to resign. After seven day's notice the Committee shall adopt such means as necessary for the recovery of uniform, etc.
 
15 The Committee may take steps to fill the place of any member of Committee absent for more than three successive Meetings of Committee without reasonable excuse for such absence.
 
16 Any instrument belonging to the Association on issue to a playing member shall be kept clean and in good working order by that member. Normal wear and tear and replacement of bags, reeds, drum heads, snares, sticks etc. will be made by the Association.
 
17 When fulfilling engagements playing members shall remain together and no one shall be allowed to leave the ranks without permission from the Pipe-Major or Drum-Major.
 
18 Playing members shall attend Practice in full uniform when required by the Pipe Major. Should any member's uniform become damaged he must report it to the Committee on the first Meeting Night thereafter.
 
19 The Secretary shall at any time call an Extraordinary General Meeting by desire of the Committee or on a requisition being made to him in writing by any five members stating the object of the Meeting in the form of a Resolution.
 
20 The Annual General Meeting shall be held in November for receiving and examining Secretary's Report and Statement of Accounts and disposing of any other competent business. 
 
21 Intimation of the Annual General Meeting and of any Extraordinary General Meeting shall be given by the Secretary to the members not less than seven days before the date of the meeting and when any special business is to be transacted the nature thereof shall be specified.
 
22 No member shall receive any remuneration for services provided to the Association other than reimbursement of expenses occurred in the promotion of the activities of the association.
 
23 The Association will comply with the Protection Of Children (Scotland) Act 2003 (POCSA) and have in place a compliant policy including the following, copies of which are attached as Annexes A to F of the constitution.

24 The Association will also have Grievance and Disciplinary policies in place. Copies of these are at Annexes H and I respectively.
 
25 The Association may be dissolved only by resolution of the membership taken at a meeting at which a quorum shall comprise three-quarters of each of the playing and non-playing membership bodies. After disposal of the Association's tangible assets and the discharge of all proper debts and liabilities, the nett assets of the Association shall be made over to another charity in law or applied to a purpose charitable in law.
